Scope and purpose
These Terms of Service (“Terms”) govern the contract between Framebird UG (haftungsbeschränkt), Eberswalder Str. 29, 10437 Berlin, Germany (“Framebird”, “we”, “our” or “us”) and each person or organization that accesses or uses Framebird (“Customer” or “you”). By creating an account or using the Services, you agree to these Terms.
If you use Framebird for an organization, you confirm that you are authorized to bind that organization. Mandatory consumer rights that apply in your country remain unaffected.
Our services
Framebird provides software for uploading, organizing, managing, presenting, and sharing Media through our websites and applications (the “Services”). The features, storage limits, and other entitlements included in a plan are described on the pricing page and in the Services before purchase.
You need an account to use most Services. You must provide accurate information, keep it current, protect your credentials, and promptly tell us about suspected unauthorized access. You are responsible for activity under your account unless it results from circumstances for which you are not responsible.
You must be at least 18 years old to purchase a paid plan. If local law permits a younger person to use the Services, a parent or legal guardian must authorize that use and remains responsible where the law allows.
Orders and billing providers
Framebird supplies and supports the Services, but paid orders are sold and charged by an authorized online reseller acting as Merchant of Record. Lemon Squeezy is the Merchant of Record for new Framebird subscriptions created before 10 August 2026. Paddle.com is the Merchant of Record for new Framebird subscriptions created on or after 10 August 2026. Existing Lemon Squeezy subscriptions, including renewals, remain managed by Lemon Squeezy. The Merchant of Record identified at checkout, on your receipt, or in your customer portal is authoritative.
For orders placed through Paddle.com: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
By completing an order, you also agree to the buyer terms presented by the applicable Merchant of Record: Paddle Buyer Terms or, for a legacy order, Lemon Squeezy Buyer Terms. Those terms govern the sale, payment, tax, receipt, refund, and chargeback aspects of that transaction. These Framebird Terms govern your license and use of the Services.
Prices and payment
Paid plans, billing periods, included features, and localized price estimates are shown before checkout. When available, Framebird's estimate uses the Merchant of Record's price preview and identifies whether estimated taxes are included. Your location and billing details can change the tax calculation. The checkout is authoritative and displays the final currency, net price, applicable taxes, total due, recurring amount, and payment frequency before you place a paid order. The available payment methods depend on the provider, country, currency, and checkout.
You must provide complete and correct billing information and be authorized to use the selected payment method. We do not receive your full payment-card details. If payment is overdue, reversed, or cannot be collected, access to paid features may be limited or suspended after any notice required by law.
Subscriptions, renewal, and cancellation
A paid subscription renews automatically for the billing period disclosed at checkout until it is cancelled. The renewal date and recurring amount are shown before purchase and in the billing information supplied by the Merchant of Record. Where applicable law requires a renewal reminder or additional consent, the Merchant of Record will provide it.
You may cancel through Framebird's subscription settings or the customer portal supplied for your order. You may also use our public subscription cancellation function without signing in. Cancellation stops future renewal and normally takes effect at the end of the current paid billing period. You retain access to paid features until then unless the Services are suspended or terminated under these Terms. Cancelling a subscription does not by itself refund an amount already paid.
Refunds and statutory withdrawal rights are described in our Refund and Cancellation Policy. An applicable statutory withdrawal can also be submitted through our electronic withdrawal function. Nothing in these Terms limits a mandatory right that cannot lawfully be excluded.
Your content
You retain ownership of content you upload to Framebird (“Customer Content”). You grant us a worldwide, non-exclusive license to host, store, back up, copy, process, transmit, and display Customer Content only as needed to provide, secure, maintain, and improve the Services and to follow your settings and instructions. This includes technical changes needed to operate the Services, such as creating thumbnails, previews, optimized renditions, transcodes, and metadata extracts. This license ends when the Customer Content is deleted from our systems, subject to reasonable backup cycles and legal retention duties.
You confirm that you have the rights and permissions needed to upload and use the content and to authorize our processing of it. You are responsible for your content and for configuring who may access it.
Framebird does not sell Customer Content. Framebird does not use Customer Content for advertising or to train general-purpose artificial intelligence or machine-learning models.
Acceptable use
You must not use the Services to:
- break applicable law or infringe another person's rights;
- upload unlawful, malicious, deceptive, or unauthorized content;
- upload sexual abuse material, non-consensual intimate imagery, content that exploits or endangers a child, or content that unlawfully promotes violence, hatred, fraud, or regulated goods;
- access another account or data without authorization;
- send spam or other unsolicited bulk communications;
- interfere with, probe, overload, or bypass the security or operation of the Services;
- scrape or extract non-public Service data, or reverse engineer the Services, except where mandatory law expressly permits it; or
- resell or provide the Services to third parties unless your plan or a written agreement permits it.
Content notices and moderation
Anyone may report specific allegedly illegal or rights-infringing Customer Content through our content reporting function. Notices should identify the exact content and explain the legal or factual basis. We may preserve relevant records, request information, restrict visibility, disable access, remove content, or suspend an account where reasonably necessary under law, these Terms, or to protect people and the Services.
We review notices and moderation decisions diligently and proportionately. Unless prohibited by law or unsafe, we will explain a restriction to the affected customer and identify the legal or contractual ground and available review route. Reporters and affected customers may request reconsideration using the request ID in the notice or decision.
Storage limits, backups, and deletion
Each plan has storage and feature limits. If an account exceeds the applicable limit after a downgrade or cancellation, uploads or paid features may be restricted. Framebird may require you to reduce usage and may remove content above the limit after advance account-email warnings and a reasonable opportunity to resubscribe or reduce storage. Content removed through the current over-limit process remains recoverable from Trash for seven days before permanent deletion from active storage.
Cancellation alone does not delete your account or Customer Content. Account deletion is a separate request: it stops renewal, signs active sessions out, and begins a staged deletion process. We aim to remove personal data and Customer Content from active systems within 30 days, except where retention is legally required or needed to resolve security, payment, or legal claims. Residual copies may remain in access-restricted backups until they are overwritten through normal backup cycles.
The Services are not a substitute for your own backup. You are responsible for keeping an independent copy of Customer Content that you cannot afford to lose and for exporting it before deletion, expiry, or a storage enforcement deadline.
Availability and changes
We work to keep the Services available and secure, but uninterrupted or error-free operation cannot be guaranteed. Maintenance, security work, third-party services, and events outside our reasonable control may affect availability. We may change the Services to improve them, address security or legal requirements, or retire features. If a change materially reduces a paid Service, we will provide notice and any remedy required by applicable law.
Suspension and termination
You may stop using the Services and initiate account deletion through your account settings at any time. We may restrict, suspend, or terminate access where reasonably necessary to protect the Services or others, respond to legal requirements, address non-payment, or remedy a material breach of these Terms.
Except where immediate action is required to prevent harm, preserve evidence, comply with law, or address a serious security threat, we will give reasonable notice, explain the principal reason, and offer an opportunity to remedy or request review where appropriate. Suspension does not remove payment obligations already incurred, but mandatory refund and digital-service remedies remain unaffected.
Intellectual property
Framebird and its licensors own the Services, software, branding, and related materials, excluding your content. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services. No other rights are granted.
Liability
We are liable without limitation for intent and gross negligence, injury to life, body, or health, guarantees we expressly give, fraudulent concealment, and liability that cannot be limited by law. For slight negligence affecting an essential contractual duty, liability is limited to the foreseeable damage typical for this kind of contract. Otherwise, liability for slight negligence is excluded to the extent permitted by law. Mandatory consumer rights and product-liability rules remain unaffected.
Privacy
Our Privacy Policy explains how Framebird processes personal data. The Data Processing Agreement applies where Framebird processes Customer Personal Data as a processor on behalf of a business customer. The applicable Merchant of Record processes transaction data under its own privacy notice: Paddle Privacy Notice or Lemon Squeezy Privacy Policy.
Changes to these Terms
Each published version has a last-updated date. We may update these Terms to reflect changes in law, security, the Services, billing, or operational requirements. Changes do not apply retroactively.
We will give at least 30 days' advance notice by account email or a prominent in-product notice before a material change takes effect, unless an urgent legal or security change requires a shorter period. The notice will summarize the change, its reason, effective date, and your options. Where law requires affirmative acceptance, the changed term will not bind you merely because you continue using Framebird. Otherwise, you may object, stop using the Services, and cancel before the effective date. We will preserve the acceptance or notice records needed to identify which version governs.
Governing law and disputes
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice does not deprive you of mandatory protections in your country of residence. Courts have jurisdiction only as provided by applicable law. We are neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board.
